Newsletter Subscriber Statement

Verdia Investing is an investing newsletter that regularly publishes general investing commentary and trading signals. Verdia does not provide individual investment advice. Investment decisions are the sole responsibility of the individual investor.

Terms & Conditions

The Verdia Investing Newsletter Subscriber (“Subscriber”) agrees to be bound by Verdia’s (“Publisher”) Terms and Conditions as it relates to the Verdia Investing Newsletter Subscription (“Subscription Services”). This Agreement may be updated by us from time to time. Subscribers will be notified of any updates. Please review them carefully.

  1. Publisher Authority and Responsibilities
    Publisher shall have the power and authority to provide general investment commentary and trade signals to the Subscriber via Verdia Subscription Services. Based on information provided by the Subscriber, Subscription Services will enable the Subscriber to view general investment commentary and trade signals. Publisher will not supervise or direct, on a discretionary or non-discretionary basis, any of the Subscribers accounts.

  2. Subscriber Authority and Responsibilities
    The Subscriber confirms that the Subscriber is authorized to enter into a Subscription Services Agreement with the Publisher and that such Agreement, pursuant to the Terms and Conditions, does not violate any obligations by which the Subscriber is bound. The Subscriber shall be responsible for all of their investment decisions. 

  3. Expenses and Fees
    Subscriber will pay the Publisher for compensation for its services under this Subscription Services Agreement a recurring, fixed fee of $149 for 6 months, or $199 for 1 year; payable in advance. The subscription fee may be negotiated in advance at the discretion of the Publisher. Subscriber will be invoiced at the start of the 1 month, 6 month, or 1 year agreement and will be charged by a credit card kept on file. Fees incurred at the direction of the Subscriber shall be paid by the Subscriber. The Publisher may modify the terms in this section with 30 days prior written notice. 

  4. Liability
    Neither Verdia, Publisher, nor any of it’s employees or agents shall be liable in any way for for any damages whatsoever, including, without limitation, indirect, special, punitive, consequential, or incidental damages including, without limitation, lost profits, cost of procuring substitute service, or lost opportunity arising out of or in connection with the Subscription Services or the use of the Subscription Services or a linked website (including but not limited to the delay or inability to use the Subscription Services or a linked website). This limitation shall apply regardless of whether the damages are foreseeable or whether Verdia has been advised of the possibility of damages. The foregoing limitation of liability shall apply to the fullest extent permitted by law In the applicable jusisdiction. In no event shall Verdia’s cumulative liability to the Client exceed $100. Nothing in this Agreement is intended to diminish in any way the Publishers obligation to act in the best interest of the Subscriber, or to impair any rights that the Subscriber may have under federal or state laws or the rules promulgated pursuant to those laws.

  5. Use of the Subscription Services
    Subscription Services are intended solely for individuals who are age 18 or older. Any access to or use of the Subscription Services by anyone under 18 is unauthorized, unlicensed, and in violation of these Terms and Conditions. By accessing or using the Subscription Services, you represent and warrant that you are 18 or older.

  6. Access to Subscription Services
    Publisher reserves the right, in its sole discretion, to deny Subscriber access to Subscription Services, or any portion of the Subscription Services, without notice and without reason.

  7. Investment Results
    Publisher makes no representation regarding the likelihood or probability that any actual or hypothetical investment will in fact achieve a particular outcome or perform in any predictable manner. Any historical return information on the Publisher’s website does not represent the actual performance of any specific investor’s account and may not reflect all factors that could impact such performance for an individual investor. Past performance is not a guarantee of future success and returns in any period may be far above or below those of a previous period. No representation is being made that any investment will or is likely to achieve profits or losses similar to those achieved in the past, or that significant losses will be avoided. Investing involves risk and investments may lose value.
    The return, composite, and performance information shown on Publisher’s website uses or includes information compiled from third-party sources, including independent market quotations and index information. Publisher believes the third-party information comes from reliable sources, but does not guarantee its accuracy.
    Publisher does not advocate for the purchase of individual securities, nor do we guarantee investment returns. Investment decisions and investment returns are the sole responsibility of the Subscriber.

  8. Conditions of Use
    Subscriber agrees that they will comply with all applicable laws, including, without limitation, privacy laws, intellectual property laws, anti-spam laws, export control laws, tax laws, and regulatory requirements. Subscriber further agrees that they will use Verdia’s Subscription Services solely for their personal, non-commercial use and will not attempt to interfere with the functioning of the Subscription Service in any way.

  9. Secured Areas
    Access to and use of password protected and/or secure areas of Verdia’s Subscription Services website are restricted to authorized users only. Unauthorized persons attempting to access these areas of the website may be subject to legal action.

  10. No Warranties
    All products, services, and content provided by Publisher are provided “as is” without warranty of any kind, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, security, or accuracy. Publisher specifically disclaims any duty to update the information on the website and it is your responsibility to evaluate the accuracy, reliability, timeliness, and completeness of any information available on the website. Publisher does not guarantee that the website will operate error-free or that the website, its servers, or the content are free of computer viruses or similar contamination or destructive features. If you choose to use the website, or rely on the information presented on it, you do so solely at your own risk.

  11. Conflicts of Interest
    The Subscriber agrees that the Publisher may refrain from rendering any services concerning companies of which the Publisher, its officers, directors or employees or any of the Publisher’s affiliates, may have substantial economic interest, until the Publisher is able to fully disclose any conflicts of interest to the Subscriber. 

  12. Reliance of Information
    The Subscriber understands that the Publisher, in the performance of its obligations and duties under the Agreement, is entitled to rely upon the accuracy of information furnished by the Subscriber, without further investigation.

  13. Termination and Cancellation
    Neither the Subscriber nor the Publisher may assign, convey or otherwise transfer any of their rights, obligations or interests under this Agreement without the prior consent of the other party. This Agreement shall continue until terminated by either party. The Agreement may be terminated, at any time, by either party. If the Publisher terminates the Agreement, fees prepaid by the Subscriber will be prorated to the date of termination and any excess will be refunded to Subscriber. If the Subscriber terminates the Agreement, any fees paid in advance will be prorated to the date of termination and any unearned fees will be refunded to the Subscriber.

  14. Governing Law Disputes
    To the extent federal law does not apply to this Agreement, it shall be construed in accordance with the laws of the State of Maine.

  15. Disclosure
    Prior to entering into the Subscription Agreement, the Subscriber should review Verdia's documents. Publisher represents it is exempt from licensure/registration with the necessary state securities commissions in accordance with applicable state and federal law(s). Upon entering into the Subscription Agreement, Subscriber acknowledges review of Publisher’s documents containing all necessary information regarding the Publisher’s services and fees.

  16. Privacy
    Subscriber has received and reviewed a copy of the Publisher’s Privacy Policy. Except as otherwise agreed in writing or as required by law, Publisher will keep confidential all information concerning Subscriber’s identity, financial affairs, or investments.

  17. Notices
    All notices required or permitted to be sent under this Agreement shall be sent to:
    Publisher: Verdia PO Box 542 Standish, ME 04084.
    Subscriber: Address on file provided by Subscriber.
    All notices hereunder shall be sufficient if delivered by email, overnight mail or by hand. Any notice shall be deemed to be given only upon actual receipt. 

  18. Electronic Delivery
    The Subscriber agrees to the delivery by email or other electronic communication methods acceptable and agreed to by Subscriber, of all notices and documents required to be delivered by Publisher under this Agreement.

Privacy Policy

At Verdia we work hard to protect your personal information and ensure your information is kept private and secure. The following privacy policy outlines the types of personal information that Verdia collects. It also explains why we collect this information and how we use it. Privacy is important to Verdia. We will never rent or sell your information to anyone. If you have any questions or if you believe that Verdia has not adhered to this privacy policy please contact us.


INFORMATION WE COLLECT AND WHY

In order to provide a high-quality service, Verdia collects various types of information when you visit our website, subscribe as a member, or subscribe to our email list.

Visitor Information
We collect various types of anonymous information about visitors to Verdia, such as device-related information (including browser type) and server log information (including the date and time of day of your visit, average time spent on the Verdia site, browsing activity, and any site that referred you to Verdia). We also collect information that you input into our website, e.g., by beginning the member subscription process. We use this information to better understand our visitors and our business, facilitate site navigation, provide the services or information you request, and enhance Verdia’s service.

Customer Information
When you choose to become a Verdia subscribing member, we will collect certain personal information, including your full legal name, email address and your acceptance of our Policies and Terms & Conditions. If you do not wish to provide this information, you cannot become a Verdia subscribing member.

Apart from the member subscription process and visiting our website, we also collect your name and/or email address if you complete our Contact form, Questions form, or subscribe to our newsletter.

Advertising Companies
Verdia may advertise our services on websites not affiliated with Verdia, and we contract with third-party advertising companies to display these ads. These third-party advertising companies, along with data exchanges and similar providers, may use cookies and similar technologies to collect technical and web navigational information, such as device type, browser type, IP address, and pages visited.  We do not provide any information to these advertising companies that could personally identify our users or subscribers, and they do not collect such information for us.

Verdia and third-party advertising companies may use the data collected to provide you with ads relevant to you and personalized content while you are on Verdia or other sites. If you prefer to not receive targeted advertising, you can opt out of some network advertising programs that use your information by visiting the NAI Opt-Out Page. Please note that even if you choose to remove your information by opting out, you will still see advertisements while you are browsing online.

Additionally, many network advertising programs allow you to view and manage the interest categories they have compiled from your online browsing activities. These interest categories help determine the types of targeted advertisements you may receive. The NAI Opt-Out Page provides a tool that identifies its member companies that have cookies on your browser and provides links to those companies.

Because mobile devices may vary in how they operate and may not use cookies, the choice management options listed above may not work for all mobile devices and mobile apps.

Analytics Services
We use third-party analytics tools to collect information about the usage of this site. These analytics services collect information about how often users visit this site, what pages they visit when they do so, and what other sites they used prior to coming to this site, among other information. We use the information we get from these analytics services to improve this site.

These analytics services collect the IP address assigned to you on the date you visit this site, along with other anonymized information (e.g., browser type and type of device used to visit the site), but not your name or other personally identifiable information. The analytics services’ ability to use and share information about your visits to this site is restricted by their terms of use and privacy policies. We do not combine the information collected through the use of analytics with personally identifiable information.

HOW WE USE YOUR PERSONAL INFORMATION

Verdia uses your personal information to provide subscription services; enhance your customer experience; improve our products and features; provide customer support; open, operate, and maintain your account in accordance with US law; monitor and protect the security and integrity of Verdia; and better market and advertise Verdia’s services.

As part of this process, we may from time to time include, compile, or aggregate some of your personal information in certain data analysis, reports, or other interpretations of investment trends for both internal and external purposes. When including, compiling, or aggregating personal information for such purposes, we make sure that the information is anonymized such that it is not identifiable to any particular customer.

Additionally, we may use your personal information to contact you regarding our own services or resources. If you no longer wish to receive such marketing communications from Verdia, please click the “unsubscribe” link that can be found at the bottom of each such email message. Please note that if you hold a subscription with Verdia, you cannot opt-out of certain communications related to the administration of your account, including communications related to billing and or certain regulatory matters.


HOW WE SHARE YOUR INFORMATION

We do not sell, rent, or trade your personal information with any third parties other than with your consent or as required by law.

In order to provide services and in connection with our everyday business purposes and activities, we may share your personal information with third parties who perform services on our behalf.  Examples of these third parties and services include consumer identification verification services, public accounting firms and other professional firms, and certain other vendors and service providers who perform marketing, advertising, research and analytics services on our behalf. We have entered into agreements that require that these third parties keep this information confidential.

We may also disclose personal information in response to service of legal process, such as a court order, summons, or subpoena, or as permitted or required by law when we reasonably believe it is necessary or appropriate to investigate, prevent, or take action regarding illegal activities, suspected fraud (including identity theft), front running or scalping, situations involving potential threats to the physical safety of any person, or suspected violations of our Terms & Conditions. We also may disclose information about you if necessary to determine your eligibility to recover compensation in connection with class action lawsuits. 

Furthermore, we may disclose personal information in specific other cases with your consent.


HOW YOUR PERSONAL INFORMATION IS PROTECTED

Verdia works diligently to protect your personal information. We employ several physical and electronic safeguards to keep your information safe. We use the strongest available browser encryption, store all of our data on servers in secure facilities, and implement systematic processes and procedures for securing and storing data. We limit access to your personal and financial information to only those employees with authorized access who need to know the information in order to perform their jobs, and we require third parties who perform services for Verdia to agree to keep your information confidential. Furthermore, if you choose to end your membership subscription with us, we will continue to adhere to the privacy policies and practices outlined here. If you maintain a Verdia account that you access through our website you are responsible for protecting and maintaining the confidentiality of your account and password and restricting access to your computer.


HOW YOU CAN ACCESS OR CHANGE YOUR PERSONAL INFORMATION

Once you have a subscription with Verdia, you can access your profile, review the information that is stored, and revise that information. If you have any problems, you may also contact us. Due to US regulatory requirements, we do not delete residual copies of outdated information and must preserve all customer data for a minimum of three years.


OTHER IMPORTANT INFORMATION

Former Subscribers
If you are a former Verdia subscriber, these policies also apply to you; we treat your information with the same care as we do information about current customers.

How You Accept This Policy
By using and continuing to use the Verdia website and/or services, or otherwise providing us with personal information (such as an email address) you agree to the terms and conditions of this privacy policy and any updates thereto. This policy may change from time to time. This is our entire and exclusive privacy policy and it supersedes any earlier version. Our Terms & Conditions take precedence over any conflicting privacy policy provision.

Changes to the Policy
We may modify this privacy policy over time without prior notice by posting a new version of this privacy policy, which is your responsibility to review. Any changes to the privacy policy will be reflected on this page and will become effective immediately upon posting. We encourage you to periodically review this privacy policy to stay informed about how we are protecting the personally identifiable information we collect. If changes to the privacy policy are material, we will do our best to notify you via email or through a notification on the site or app.

Children
Our service is not directed towards anyone under the age of 18. If a parent or guardian becomes aware that his or her child under the age of 18 has created a membership subscription with Verdia and/or provided us with personally identifiable information, please contact us. Additionally, if we become aware at any point that a child under the age of 18 is using our service, we will terminate his or her account.


INTERNATIONAL VISITORS

This Service is hosted in the United States. If you are an international visitor, you should note that by providing your personal information, you are: (i) permitting the transfer of your personal information to the United States which may not have the same data protection laws as the country in which you reside; and (ii) permitting the use of your personal information in accordance with this privacy policy.
